MDW-BRANDS Terms and Conditions

These Terms and Conditions ("Agreement") constitute a legal agreement between you ("User" or "you") and MDW-BRANDS ("Company," "we," or "us") governing your access to and use of our SaaS product ("Product"). By accessing or using the Product, you agree to be bound by this Agreement. If you do not agree, please do not use the Product.

1. License and Access

Subject to the terms of this Agreement, MDW-BRANDS grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Product solely for your internal business purposes. This license does not grant ownership rights. You may not copy, distribute, modify, reverse engineer, or create derivative works of the Product.

2. User Accounts

To use the Product, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account. You agree to provide accurate, complete, and up-to-date information.

3. Trial Period

MDW-BRANDS offers a 15-Day Free Trial for eligible subscription plans. The trial begins on the date you first access the Product. After the 15-day trial ends, your subscription will automatically convert to a paid plan unless canceled prior to the end of the trial.

4. Fees and Payment

Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected. By subscribing, you authorize MDW-BRANDS to charge the payment method on file.

All fees are non-refundable except as expressly stated in this Agreement under the Money-Back Guarantee or Reimbursement Request sections.

5. Money-Back Guarantee & Subscription Pause

We offer a Money-Back Guarantee that applies only after the completion of the 15-Day Trial.

Refund requests must be submitted within 15 days after the end of the 15-Day Trial

Refunds apply only to software subscription plans

Upon request, users may pause their subscription instead of canceling

While paused: Your data will be securely saved You will not have access to the system

Accounts may be paused for a maximum of 4 months

Access will be restored once the subscription is reactivated

6. Done With You Service

The Done With You (DWY) Service provides hands-on support from the MDW-BRANDS team to assist with account setup and optimization, including but not limited to:

CRM configuration and updates

Email newsletter setup

Pipeline creation

Landing pages

Automations and system customization

Pricing & Terms:

The Done With You Service is billed at $500 per month

This service is non-refundable due to the nature of human labor and completed tasks

The Done With You plan can be turned on or off at the client’s discretion

Refunds will not be issued for completed or in-progress work

7. Reimbursement Request (System Downtime)

Reimbursement is available only for software subscription plans and only if:

The system experiences a complete breakdown

The breakdown lasts for a minimum of 7 consecutive days

Reimbursement does not apply to partial outages, third-party service interruptions, user error, or maintenance periods. 

Requests must be submitted in writing and will be reviewed on a case-by-case basis.

8. Intellectual Property

All software, content, branding, and materials within the Product are the exclusive property of MDW-BRANDS or its licensors and are protected by applicable intellectual property laws.

9. Limitation of Liability

The Product is provided “as is” and “as available.” MDW-BRANDS disclaims all warranties, express or implied. To the maximum extent permitted by law, MDW-BRANDS shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the Product.

10. Privacy

User data is collected and processed in accordance with our Privacy Policy.

By using the Product, you consent to such processing.

11. Termination

Either party may terminate this Agreement at any time.

Termination requests will be processed within 48 hours. 

Upon termination, access to the Product will be revoked. Users are responsible for saving any data prior to termination.

12. Governing Law

This Agreement shall be governed by the laws of the jurisdiction in which MDW-BRANDS is headquartered (New York)

Any disputes shall be resolved exclusively in that jurisdiction.

13. Modifications

MDW-BRANDS reserves the right to update these Terms at any time. Changes become effective upon posting. Continued use of the Product constitutes acceptance of the updated Agreement.
